Terms of Use

By accessing or using the Sysand Package Index ("the Service"), you agree to be bound by these Terms of Use ("Terms") and the policies incorporated by reference below. If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including visitors who browse or download packages without publishing ("Users") and registered users who publish packages ("Publishers"). Where these Terms refer to "you," they mean you in whichever capacity you access the Service.

1. Incorporated Policies

These Terms incorporate the following Sensmetry policies by reference. In the event of a conflict between these Terms and any incorporated policy, these Terms prevail.

The Privacy Policy governs the collection and processing of your personal data. The Usage Policy governs what content may be published and how the Service may be used on a day-to-day basis; it is an operational document that Sensmetry may update more frequently than these Terms (see Section 9). The Security Disclosure Policy governs how vulnerabilities and malicious packages are reported and handled.

2. Eligibility

To use the Service you must meet the age requirement below.

Age requirement. You must be at least 14 years of age to use the Service. If the minimum age of digital consent in your country is higher than 14, that higher age applies to you. If you are below the applicable minimum age, you may only use the Service with the consent of your parent or legal guardian. Sensmetry does not knowingly collect personal data from users below the applicable minimum age; if we become aware that this has occurred, the account will be closed and the data deleted.

By using the Service you represent and warrant that you meet these requirements.

3. Licence Grant

Subject to your compliance with these Terms, Sensmetry grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service.

Restrictions

You may not:

  • Sublicense, sell, resell, transfer, or assign the rights granted by these Terms to any third party.
  • Reproduce or redistribute the Sysand software itself except as expressly permitted by its open-source licence.

4. Intellectual Property

Sensmetry's property

The Sysand Package Index, including the platform software, website, API, documentation, and all content produced by Sensmetry (collectively, the "Platform"), together with all intellectual property rights therein, are and remain the sole property of UAB Sensmetry. These Terms do not transfer any ownership interest in the Platform to you.

"Sysand," "Sensmetry," and associated logos and marks are trademarks of UAB Sensmetry. You may not use them without prior written permission, except to the limited extent necessary to accurately and factually describe your use of the Service (for example, "this project uses packages hosted on Sysand Index").

Your content

Packages you publish to the Service remain your intellectual property, subject to the publisher licence you grant Sensmetry in Section 5. Nothing in these Terms assigns ownership of your content to Sensmetry.

5. Publisher Licence

When you publish a package to the Service, you grant Sensmetry a non-exclusive, royalty-free, worldwide licence to store, reproduce, display, and distribute the package through the Service and any official mirrors, for as long as the package remains published.

This licence is granted solely for the purpose of operating and providing the Service. It does not permit Sensmetry to commercialise your content independently of the Service.

By publishing a package you represent and warrant that:

  • You are the rights-holder or have obtained all necessary permissions to publish the package under the licence you declare.
  • The package and its metadata do not infringe any third-party intellectual property rights, confidentiality obligations, or applicable law.

Further content and conduct requirements for Publishers are set out in the Usage Policy.

6. Acceptable Use and Prohibited Conduct

Your use of the Service must comply with the Usage Policy at all times.

Regardless of what the Usage Policy provides, the following absolute prohibitions apply at the level of these Terms and cannot be overridden:

  • No unlawful use. You may not use the Service in any manner that violates applicable local, national, or international law or regulation.

7. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SENSMETRY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SENSMETRY DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY PACKAGES AVAILABLE THROUGH THE SERVICE ARE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE; OR (C) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

THE SERVICE IS UNDER ACTIVE DEVELOPMENT. FEATURES, INTERFACES, AND AVAILABILITY ARE SUBJECT TO CHANGE. SENSMETRY DOES NOT GUARANTEE UNINTERRUPTED AVAILABILITY OR DATA DURABILITY. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SENSMETRY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SENSMETRY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SENSMETRY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF EUR 50 OR THE TOTAL FEES PAID BY YOU TO SENSMETRY IN THE TWELVE MONTHS PRECEDING THE CLAIM.

The limitations in this section reflect a fair allocation of risk between the parties and are a fundamental element of the basis on which Sensmetry makes the Service available. The Service would not be provided on these terms without them.

9. Changes to These Terms

Sensmetry may update these Terms from time to time. Where changes are material, Sensmetry will provide reasonable advance notice to registered users by email and by posting a notice on the Service before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and, if you are a Publisher, delete your account before the effective date.

Minor or non-material changes (such as corrections of typographical errors or clarifications that do not alter the meaning of any provision) may be made without prior notice.

The Usage Policy is an operational document that may be updated more frequently. Material changes to the Usage Policy will be announced through the Service.

10. Term and Termination

Duration

These Terms take effect when you first access or use the Service and remain in effect until terminated as described below.

Termination by you

You may stop using the Service at any time. If you are a Publisher, you may delete your account through your account settings page.

Termination or suspension by Sensmetry

Sensmetry may suspend or permanently terminate your access to the Service, with or without prior notice, if:

  • You breach these Terms or the Usage Policy;
  • Sensmetry reasonably believes your use of the Service is harmful to the Service, other users, or third parties;
  • You provide false information in connection with your account or your use of the Service; or
  • Sensmetry discontinues the Service.

Where time permits, Sensmetry will notify you before taking action. For serious violations action may be taken immediately.

Effect of termination

On termination, your licence to use the Service ends immediately. Published packages remain accessible to other users after termination, as downstream projects may depend on them. Where packages were themselves the basis for termination — for example, because they violated these Terms or the Usage Policy — they may be removed. Where packages remain after termination, they enter an unmaintained state. Sensmetry may prompt Publishers with active packages to transfer ownership before a voluntary account deletion is finalised. The following sections survive termination: Section 4 (Intellectual Property), Section 5 (Publisher Licence, for packages published prior to termination), Section 7 (Disclaimers), Section 8 (Limitation of Liability), Section 11 (Governing Law), and any accrued rights and liabilities.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union, mandatory consumer protection provisions of your country of residence may apply and are not affected by this clause. Nothing in this section limits your right to bring a complaint before a national supervisory authority.

12. General

Entire agreement. These Terms, together with the Privacy Policy, Usage Policy, and Security Disclosure Policy, constitute the entire agreement between you and Sensmetry with respect to the Service and supersede all prior understandings and agreements relating to the same subject matter.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

No waiver. Sensmetry's failure to enforce any provision of these Terms on any occasion does not constitute a waiver of that provision or of any right to enforce it in the future.

Assignment. You may not assign or transfer any rights or obligations under these Terms without Sensmetry's prior written consent. Sensmetry may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets.
